Beta Terms and Conditions – WiiZ Atlas 2.0

1. Introduction and Definitions

1.1 Purpose of These Terms

These Beta Terms and Conditions (“Terms”) govern your access to and use of WiiZ Atlas 2.0, an artificial intelligence workflow orchestration, execution, and evaluation platform (the “Service”) provided by Estrel AI Ltd, a company incorporated in the Dubai International Financial Centre (DIFC).

The purpose of these Terms is to:

  • Establish the legal framework under which the Service is made available during its Beta phase;
  • Define key terms, usage concepts, and subscription-related terminology;
  • Set clear expectations regarding functionality, availability, data handling, security, and limitations applicable during Beta;
  • Allocate rights, responsibilities, and risks between Estrel AI and users of the Service.

These Terms apply to all access to and use of the Service via:

  • https://hub.wiiz.it (the operational platform);
  • www.wiiz.it (pricing, plan descriptions, and general product information);
  • The User Manual and documentation made available within the platform, which provide operational and technical guidance and may be updated from time to time during the Beta phase.

In the event of any conflict between these Terms and any other materials, these Terms shall prevail unless expressly stated otherwise.

1.2 Definitions

For the purposes of these Terms, the following definitions apply:

“Estrel AI”, “we”, “us”, or “our”
means Estrel AI Ltd, a company incorporated in the Dubai International Financial Centre (DIFC).

“WiiZ”
means the AI platform operated by Estrel AI and made available via https://hub.wiiz.it, together with any associated Platform, interfaces, tools, and components.

“Atlas 2.0”
means the current version of the WiiZ platform, including its workflow builder, Intent Studio, evaluation tooling (EvalOps), guardrails, and related AI orchestration capabilities.

“Platform”
means WiiZ Atlas 2.0 and any related Platform, features, software, models, or functionality made available to you by Estrel AI during the Beta phase.

“Beta”
means that the Service is provided in a pre-general-availability state for testing, evaluation, and feedback purposes. The Service is not in General Availability (GA), may be incomplete, unstable, or subject to change, and is not intended for production or mission-critical use.

“Runs”
means compute utilisation per workflow node or each Intent Studio conversation initiation, as measured and tracked by the Service for usage, limitation, and billing purposes.

“Subscription Plan”
means a paid or promotional access tier under which the Service is made available, including defined usage limits, features, pricing, billing terms, and entitlements, as described on www.wiiz.it, within the Service, or in applicable order or plan descriptions.

“User”, “you”, or “your”
means the individual or legal entity accessing or using the Service. If you are using the Service on behalf of an organisation, “you” includes that organisation.

“User Manual”
means the documentation, guides, and operational instructions made available within the Service interface, which describe feature behaviour, usage mechanics, configurations, and limitations.

1.3 Interpretation

Unless the context otherwise requires:

  • Headings are for convenience only and do not affect interpretation;
  • Words in the singular include the plural and vice versa;
  • References to “including” or “include” shall be construed as “including without limitation”;
  • References to laws include amendments and replacements thereof;
  • References to a section are references to a section of these Terms.

2. Purpose and Scope of the Beta Programme

WiiZ Atlas 2.0 is provided to you exclusively as part of a controlled beta programme for the limited purposes of evaluation, testing, and feedback.

The primary objectives of the Beta Programme include, without limitation:

  • Validating core product functionality, workflows, and system architecture;
  • Assessing usability, performance, and reliability under test conditions;
  • Evaluating early-stage security, privacy, and governance controls;
  • Identifying defects, limitations, inaccuracies, and areas for improvement;
  • Collecting user feedback to inform future development, feature prioritisation, and commercial readiness.

You acknowledge and agree that:

  • The Service is experimental, pre-production, and incomplete;
  • Features, capabilities, configurations, limits, and behaviours may change frequently and without notice;
  • Certain components, safeguards, compliance mechanisms, and enterprise controls are still under development and validation;
  • The Service must not be used as a production system, nor relied upon for operational, mission-critical, regulated, or high-risk use cases.

The Beta Programme does not constitute:

  • A commitment to launch a general availability (GA) version of the Service;
  • A guarantee that any feature, functionality, or integration will be retained in a future release;
  • An assurance that the Service will meet any regulatory, legal, or industry-specific compliance requirements.

Estrel AI reserves the right, at its sole discretion, to modify, suspend, restrict, or discontinue the Beta Programme or any part of the Service at any time, with or without notice.

3. Beta Status of the Platform (Not General Availability)

3.1 Beta Phase Overview

WiiZ Atlas 2.0 is currently made available as a Beta version of the WiiZ Platform. The Platform has progressed from a Closed Beta to an open Beta but has not reached General Availability (GA).

The Beta phase is intended to allow users to:

  • Evaluate Platform capabilities;
  • Test workflows, Intent Studio agents, and related features;
  • Provide feedback to Estrel AI to support further development and improvement.
3.2 Non-GA Nature of the Platform

You acknowledge and agree that, during the Beta phase:

  • The Platform is pre-release and experimental in nature;
  • Features, components, and functionality may be incomplete, unstable, or subject to change;
  • Certain capabilities may be added, modified, limited, or removed at any time;
  • The Platform may experience interruptions, errors, degraded performance, or unexpected behaviour.

The Platform is not intended for production use, mission-critical operations, or customer-facing deployments during the Beta phase.

3.3 No Production or Availability Commitments

During the Beta phase, Estrel AI does not make any commitments regarding:

  • Platform uptime or availability;
  • Performance benchmarks or response times;
  • Feature completeness or long-term support;
  • Compatibility with specific systems, tools, or workflows.

Any access to the Platform during Beta is provided on a best-effort basis.

3.4 Platform Evolution During Beta

You acknowledge that:

  • The Platform may evolve rapidly during Beta;
  • User experience, interfaces, workflows, and Intent Studio behaviour may change;
  • Limits, configurations, and defaults may be adjusted;
  • Data structures or internal logic may be modified.

Estrel AI may implement such changes without prior notice where reasonably necessary for development, security, or operational reasons.

3.5 Feedback and Participation Expectations

By using the Platform during Beta, you acknowledge that:

  • Your participation is voluntary;
  • You may encounter bugs, defects, or unexpected behaviour;
  • Feedback provided may be used to improve the Platform.

Beta participation does not create any obligation on Estrel AI to continue providing the Platform, transition it to GA, or maintain specific features or pricing.

4. Eligibility, Registration, and Account Authority

4.1 Eligibility to Access the Platform

Access to the WiiZ Atlas 2.0 Platform during the Beta phase is available only to individuals or organisations that meet the eligibility criteria determined by Estrel AI.

By accessing or using the Platform, you represent and warrant that:

  • You are legally capable of entering into binding agreements;
  • You are not prohibited from using the Platform under applicable laws or regulations;
  • Your access to and use of the Platform complies with all applicable laws, regulations, and internal policies that apply to you or your organisation.

Estrel AI reserves the right to restrict, suspend, or deny access to the Platform to any user at its sole discretion during the Beta phase.

4.2 Registration and Account Creation

To access the Platform, you may be required to register for an account and provide certain information, including identification, contact, and organisational details.

You agree to:

  • Provide accurate, current, and complete information during registration;
  • Maintain and promptly update your account information as necessary;
  • Safeguard your account credentials and prevent unauthorised access.

You are solely responsible for all activities conducted through your account, whether authorised or unauthorised.

4.3 Organisational Access and Authority

If you access or use the Platform on behalf of a company, organisation, or other legal entity, you represent and warrant that:

  • You have full authority to bind that entity to these Terms;
  • Such entity agrees to be responsible for all actions taken through its accounts;
  • References to “you” or “your” in these Terms shall include that entity.

Estrel AI may rely on this representation without further verification.

4.4 Account Security and Responsibility

You are responsible for maintaining the confidentiality and security of your account credentials and for all usage of the Platform under your account.

You must promptly notify Estrel AI if you become aware of any unauthorised access, misuse, or security breach involving your account.

Estrel AI shall not be liable for any loss or damage arising from unauthorised use of your account, except to the extent required by applicable law.

4.5 Suspension or Termination of Access

During the Beta phase, Estrel AI may suspend or terminate your access to the Platform at any time, with or without notice, including where:

  • You breach these Terms;
  • Your use of the Platform poses a security, operational, or legal risk;
  • The Beta programme is modified, paused, or discontinued.

Suspension or termination of access does not affect any accrued rights or obligations under these Terms, where applicable.

5. Subscription Plans and Access Tiers

5.1 Access to the Platform During Beta

Access to the WiiZ Atlas 2.0 Platform during the Beta phase is offered under both Free and Paid subscription plans. The Platform is not in General Availability, however both Free and Paid access tiers are available during Beta.

Subscription plans determine usage entitlements and duration of access, not feature availability, unless explicitly stated otherwise.

5.2 Free Plan (Time-Bound Beta Access)

The Free Plan provides time-limited access to the Platform for evaluation purposes during the Beta phase.

Under the Free Plan:

  • Access is provided for a limited duration of fourteen (14) days from the date of activation;
  • Users are entitled to a limited allocation of Runs, as defined in these Terms;
  • All Platform features are available during the Free Plan period, subject to usage limits.

The Free Plan is intended solely for initial evaluation and familiarisation with the Platform.

5.3 Access After Free Plan Expiry

Upon expiration of the Free Plan period:

  • Users may continue to log in to the Platform;
  • Users may view existing workflows, configurations, agents, and settings;
  • Execution of workflows, workflow nodes, and Intent Studio agent conversations is disabled unless the user upgrades to a paid Subscription Plan;
  • No additional Runs may be consumed without an active paid Subscription Plan.

Failure to upgrade to a paid Subscription Plan will not delete user accounts by default but will restrict execution capabilities.

5.4 Paid Subscription Plans

(a) Starter Plan

The Starter Plan is a paid subscription tier available during the Beta phase.

Under the Starter Plan:

  • Users may actively execute workflows and workflow nodes;
  • Users may initiate Intent Studio agent conversations;
  • Usage is subject to the Runs allocated under the Starter Plan.

The Starter Plan removes the time limitation applicable to the Free Plan and enables continued Platform usage subject to subscription terms.

(b) Business Plan

The Business Plan is intended for organisations with advanced or customised requirements.

Business Plans are not offered as a standard self-serve tier and may be custom-built, including but not limited to:

  • Higher or customised Run allocations;
  • Multiple environments (e.g. development, testing, production);
  • Additional configuration or operational requirements.

Business Plan terms, pricing, and entitlements are provided through direct engagement with Estrel AI.

5.5 Feature Availability Across Plans

Unless explicitly stated otherwise:

  • Platform features are not gated by Subscription Plan;
  • All users, whether on Free or Paid plans, have access to the same Platform features;
  • Differentiation between Free and Paid plans is based on:
    • Time-based access limitations (Free vs Paid), and
    • Usage entitlements measured in Runs.

No feature guarantees or exclusions are implied unless expressly documented.

5.6 Shared Resource Allocations (Non-Plan-Gated)

The following resource allocations are available at the Platform level and are not differentiated by Subscription Plan during Beta, unless otherwise specified:

  • File storage: up to 5 GB
  • Vector database (Milvus): up to 2 GB
  • Relational database (MySQL / RDBMS): up to 2 GB

These limits may be modified during the Beta phase and are subject to operational constraints.

5.7 Pricing References and Beta Flexibility

Pricing, usage limits, and subscription details are described through:

  • www.wiiz.it;
  • The in-platform subscription interface on https://hub.wiiz.it;
  • Applicable in-platform documentation.

All pricing and plan structures offered during the Beta phase are subject to change and do not guarantee parity with pricing or plans that may be offered upon or after General Availability.

6. Usage Measurement, Runs, and Resource Limits

6.1 Measurement of Platform Usage

Usage of the WiiZ Atlas 2.0 Platform is measured and enforced using Runs, which represent consumption of computational resources within the Platform.

For the purposes of these Terms:

“Runs” mean compute utilisation per workflow node or each Intent Studio conversation initiation.

Each execution of a workflow node and each initiation of an Intent Studio agent conversation consumes Runs, regardless of outcome, completion status, or accuracy of outputs.

6.2 Run Allocation and Enforcement

Run allocations are determined by the applicable access tier or Subscription Plan.

Free Plan users receive a limited allocation of Runs for the duration of the Free Plan period.

Paid Subscription Plan users receive Run allocations as defined by their selected plan or custom agreement.

Once the allocated Runs for a given period are exhausted:

  • Execution of workflow nodes and workflows may be paused or restricted;
  • Initiation of Intent Studio agent conversations may be disabled;
  • Additional Runs may require upgrading the Subscription Plan or purchasing add-ons, where available.

Unused Runs do not roll over unless expressly stated otherwise.

6.3 No Guarantee of Exact Run Consumption

You acknowledge that:

  • The number of Runs consumed by a given workflow or agent interaction may vary depending on configuration, model selection, workflow structure, and internal Platform logic;
  • Estrel AI does not guarantee predictable or fixed Run consumption for specific workflows or use cases.

Run usage information is provided for monitoring and transparency purposes only.

6.4 Resource Limits (Beta Constraints)

During the Beta phase, the Platform enforces certain shared resource limits at the account or workspace level. Unless otherwise specified, the following limits apply and are not differentiated by Subscription Plan:

  • File storage: up to 5 GB
  • Vector database (Milvus): up to 2 GB
  • Relational database (MySQL / RDBMS): up to 2 GB

These limits are intended to support evaluation use during Beta and may be adjusted, reduced, expanded, or removed at Estrel AI’s discretion.

6.5 Exceeding Resource Limits

If resource limits are reached or exceeded:

  • The Platform may restrict further data ingestion, storage, or execution;
  • Users may be required to delete data, reduce usage, or upgrade their Subscription Plan;
  • Estrel AI may apply temporary or permanent restrictions to protect Platform stability.

Estrel AI is not responsible for data loss resulting from user failure to manage resource usage within defined limits.

6.6 Beta Flexibility and Changes

You acknowledge that, due to the Beta nature of the Platform:

  • Run calculation logic may change;
  • Resource limits may be modified;
  • Enforcement mechanisms may evolve.

Such changes may occur without prior notice and do not create any obligation to preserve existing usage patterns or entitlements.

7. Billing, Payments, and Subscription Management

7.1 Subscription Billing Model

Access to paid tiers of the WiiZ Atlas 2.0 Platform is provided on a subscription basis. Subscription fees, billing cycles, and applicable charges are determined by the selected Subscription Plan and as displayed at the time of purchase through:

  • www.wiiz.it
  • The in-platform billing interface on https://hub.wiiz.it

All fees are stated exclusive of applicable taxes, duties, or levies unless expressly stated otherwise.

7.2 Billing Cycles and Auto-Debit Authorization

Paid Subscription Plans may be billed on a monthly or annual basis, depending on the plan selected.

By subscribing to a paid plan, you authorise Estrel AI Ltd to:

  • Automatically debit the applicable subscription fees from your chosen payment method;
  • Process recurring payments without requiring additional approval for each billing cycle.

Failure to maintain a valid payment method may result in suspension or restriction of Platform usage.

7.3 Subscription Activation and Access

Upon successful payment:

  • Paid subscription access becomes active immediately unless otherwise specified;
  • Platform execution capabilities, including workflow node execution and Intent Studio agent conversations, are enabled in accordance with the applicable Run allocation.

Subscription access remains active for the duration of the billing period, subject to compliance with these Terms.

7.4 Upgrades, Downgrades, and Changes

You may upgrade or modify your Subscription Plan through the Platform interface, subject to availability.

  • Upgrades may take effect immediately and may result in prorated charges;
  • Downgrades, where permitted, may take effect at the end of the current billing cycle;
  • Changes to Run allocations or billing terms will be reflected in the Platform prior to confirmation.

Business Plans are governed by custom commercial terms and may not follow standard self-serve modification rules.

7.5 Add-On Purchases

Estrel AI may offer optional Run add-ons or other usage-based extensions on a one-time purchase basis.

Add-ons:

  • Provide additional Runs beyond the base Subscription Plan allocation;
  • Are subject to separate pricing and availability;
  • Do not extend subscription duration unless explicitly stated.

Unused add-on Runs do not roll over unless expressly indicated at the time of purchase.

7.6 Non-Payment and Suspension

In the event of failed payment, chargeback, or non-payment:

  • Estrel AI may suspend execution capabilities on the Platform;
  • Access may be downgraded to login-only status;
  • Data retention is not guaranteed during periods of suspension.

Restoration of access may require settlement of outstanding amounts.

7.7 Beta Pricing Disclaimer

You acknowledge that:

  • Subscription pricing during the Beta phase is subject to change;
  • Beta pricing does not guarantee parity with pricing at General Availability;
  • Estrel AI may introduce new plans, modify existing plans, or discontinue Beta pricing without obligation.

8. Acceptable Use and Platform Restrictions

8.1 Permitted Use

You may access and use the WiiZ Atlas 2.0 Platform solely for lawful purposes and in accordance with these Terms, the applicable Subscription Plan, and the user documentation made available via:

  • www.wiiz.it
  • https://hub.wiiz.it
  • The in-platform user manuals and guides

During the Beta phase, usage is intended for evaluation, testing, experimentation, and internal development purposes. You are responsible for ensuring that your use of the Platform complies with all applicable laws, regulations, and internal organisational policies.

8.2 Prohibited Activities

You must not use the Platform to:

  • Violate any applicable law, regulation, court order, or third-party right;
  • Upload, generate, process, or distribute content that is unlawful, fraudulent, misleading, defamatory, obscene, hateful, abusive, discriminatory, or otherwise objectionable;
  • Attempt to bypass, disable, interfere with, or circumvent Platform safeguards, usage limits, Run tracking, or access controls;
  • Reverse engineer, decompile, disassemble, or attempt to derive underlying source code, models, or system logic, except to the extent expressly permitted by applicable law;
  • Introduce malware, viruses, worms, trojans, or any other harmful or disruptive code;
  • Use automated scripts, bots, or scraping mechanisms that impose unreasonable load or interfere with Platform performance;
  • Misrepresent AI-generated outputs as being exclusively human-generated where disclosure or transparency is required by law, regulation, or policy.
8.3 Responsible Use of AI Outputs

You acknowledge and agree that:

  • Outputs generated via the Platform may be inaccurate, incomplete, biased, or misleading;
  • The Platform does not provide legal, medical, financial, or professional advice;
  • You are solely responsible for reviewing, validating, and determining the suitability of any output before relying on it for decision-making or external use.

Estrel AI Ltd does not guarantee the correctness, completeness, or appropriateness of any outputs produced by the Platform.

8.4 Usage Limits and Fair Use

Your access to and use of the Platform is subject to:

  • Run limits associated with your Subscription Plan or add-ons;
  • Platform-enforced constraints related to compute utilisation, storage, and system performance;
  • Reasonable usage thresholds designed to ensure stability, fairness, and availability for all users.

Excessive, abusive, or abnormal usage patterns may result in temporary throttling, suspension, or restriction of execution capabilities.

8.5 Enforcement and Remedies

Estrel AI Ltd reserves the right to:

  • Monitor Platform usage to ensure compliance with these Terms;
  • Investigate suspected violations of Acceptable Use requirements;
  • Suspend, restrict, or terminate access to the Platform, with or without notice, where a violation is identified or reasonably suspected.

Such actions may be taken without liability and without refund of prepaid fees, to the extent permitted by applicable law.

9. User Content, Data Handling, and Storage Limits

9.1 User Content Definition

“User Content” means any data, information, files, documents, prompts, inputs, configurations, workflow logic, datasets, or other materials that you upload, submit, generate, or otherwise make available through your use of the WiiZ Atlas 2.0 Platform.

You retain ownership of your User Content, subject to the rights granted under these Terms.

9.2 Responsibility for User Content

You are solely responsible for:

  • The accuracy, legality, and appropriateness of all User Content;
  • Ensuring that you have all necessary rights, licences, consents, and permissions to upload and process such content on the Platform;
  • Compliance with all applicable laws, regulations, contractual obligations, and internal policies relating to the User Content.

Estrel AI Ltd does not review User Content for accuracy, legality, or compliance prior to processing.

9.3 Beta Data Handling Disclaimer

You acknowledge that the Platform is currently operating in Beta and that:

  • Data protection, security controls, and operational safeguards are still undergoing validation and improvement;
  • System behaviour, data retention practices, and performance characteristics may change during the Beta phase;
  • You should not treat the Platform as a production-grade data processing environment.

Accordingly, you agree to avoid uploading highly sensitive, regulated, or mission-critical data during the Beta phase.

9.4 Storage Allocations and Platform Limits

During the Beta phase, Platform usage is subject to the following default storage allocations, which apply irrespective of Subscription Plan unless otherwise stated:

  • File Storage: up to 5 GB
  • Vector Database (Milvus): up to 2 GB
  • Relational Database (MySQL / RDBMS): up to 2 GB

These limits may be adjusted, enforced, reduced, or expanded by Estrel AI Ltd during the Beta phase without prior notice.

Exceeding applicable storage limits may result in restricted uploads, execution limitations, or deletion of excess data.

9.5 Data Retention and Deletion

You acknowledge and agree that:

  • User Content may be deleted, anonymised, or reset as part of Beta testing, system maintenance, performance optimisation, or Platform upgrades;
  • Estrel AI Ltd does not guarantee data persistence, backup, or recovery during the Beta phase;
  • You are responsible for maintaining independent backups of any User Content you wish to retain.

Upon suspension or termination of access, Estrel AI Ltd may delete or anonymise User Content, subject to applicable legal obligations.

9.6 Platform Rights Relating to User Content

To operate and improve the Platform, you grant Estrel AI Ltd a limited, non-exclusive, royalty-free right to:

  • Host, store, process, transmit, and display User Content solely for the purpose of operating the Platform and supporting your usage;
  • Use aggregated and anonymised usage data for analytics, performance optimisation, and Platform improvement.

Estrel AI Ltd does not claim ownership over your User Content.

10. Feedback, Suggestions, and Platform Improvements

10.1 Feedback Participation

As part of your participation in the Beta phase of the WiiZ Atlas 2.0 Platform, you may voluntarily provide feedback, comments, ideas, suggestions, enhancement requests, bug reports, usage insights, or other observations relating to the Platform (“Feedback”).

Providing Feedback is optional and not required for continued access to the Platform.

10.2 Use of Feedback

You acknowledge and agree that Estrel AI Ltd may:

  • Use, evaluate, incorporate, or otherwise exploit Feedback for any purpose, including the development, improvement, optimisation, and commercialisation of the Platform or related products;
  • Implement Feedback without restriction, attribution, or obligation to you;
  • Combine Feedback with other inputs or independently developed features.
10.3 Ownership of Improvements

To the extent permitted by applicable law:

  • All improvements, modifications, enhancements, derivative works, or developments arising from or incorporating Feedback shall be owned exclusively by Estrel AI Ltd;
  • You waive any rights, claims, or interests in such improvements, including any intellectual property rights.

Feedback does not confer any ownership, licence, or compensation rights to you.

10.4 No Confidential or Restricted Submissions

You represent and warrant that:

  • Feedback does not contain confidential, proprietary, or restricted information that you are not authorised to disclose;
  • Submission of Feedback does not violate any third-party rights or contractual obligations.

Estrel AI Ltd has no obligation to treat Feedback as confidential unless expressly agreed in writing.

10.5 No Obligation to Implement

You acknowledge that:

  • Estrel AI Ltd is under no obligation to implement any Feedback;
  • Feature availability, prioritisation, and timelines are determined solely by Estrel AI Ltd;
  • Beta Feedback does not imply future availability, pricing, or inclusion in General Availability releases.

11. Intellectual Property Rights

11.1 Platform Ownership

As between you and Estrel AI Ltd, Estrel AI Ltd (and its licensors, where applicable) retains all rights, title, and interest in and to the WiiZ Atlas 2.0 Platform, including but not limited to:

  • All software, source code, object code, system architecture, and workflows;
  • Models, algorithms, orchestration logic, evaluation mechanisms, and guardrails;
  • User interfaces, designs, layouts, visual elements, and documentation;
  • Trademarks, logos, branding, and platform identifiers;
  • Any updates, modifications, enhancements, or derivative works thereof.

Except for the limited rights expressly granted under these Terms, no rights are transferred to you.

11.2 Limited Right to Use

Subject to your compliance with these Terms, Estrel AI Ltd grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable right to access and use the Platform solely in accordance with:

  • Your applicable Subscription Plan;
  • The Beta usage constraints;
  • The documentation and usage guidelines provided via the Platform.

This right terminates automatically upon suspension or termination of your access.

11.3 Restrictions

You must not, directly or indirectly:

  • Copy, reproduce, modify, adapt, translate, or create derivative works of the Platform;
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, system logic, or underlying models, except where expressly permitted by applicable law;
  • Remove, alter, or obscure any proprietary notices, trademarks, or branding;
  • Access the Platform for the purpose of building or benchmarking a competing product or platform.
11.4 User Content and Outputs

You retain ownership of your User Content.

Subject to applicable law:

  • Outputs generated by the Platform as a result of your inputs may be used by you;
  • Estrel AI Ltd does not claim ownership of outputs generated specifically for you;
  • However, Estrel AI Ltd retains all rights in the Platform itself, including the mechanisms, models, and processes used to generate such outputs.

No rights are granted to underlying models or system components.

11.5 Reservation of Rights

All rights not expressly granted to you under these Terms are reserved by Estrel AI Ltd.

Use of the Platform beyond the scope expressly permitted under these Terms is strictly prohibited.

12. Confidentiality

12.1 Confidential Information Definition

In connection with your access to and use of the WiiZ Atlas 2.0 Platform, you may receive or obtain access to certain non-public, proprietary, or confidential information relating to Estrel AI Ltd, the Platform, or its operations (“Confidential Information”).

Confidential Information includes, without limitation:

  • Platform architecture, technical designs, workflows, and system behaviour;
  • Non-public documentation, roadmaps, features, and planned enhancements;
  • Performance metrics, usage analytics, and evaluation data;
  • Security mechanisms, safeguards, and internal processes;
  • Commercial, pricing, and business information not publicly disclosed.
12.2 Confidentiality Obligations

You agree to:

  • Use Confidential Information solely for the purpose of accessing and evaluating the Platform in accordance with these Terms;
  • Not disclose Confidential Information to any third party without prior written consent from Estrel AI Ltd;
  • Protect Confidential Information using at least the same degree of care you use to protect your own confidential information of similar importance, and in no event less than reasonable care.

Confidential Information may be shared internally only with personnel who have a legitimate need to know and are bound by confidentiality obligations no less restrictive than those set out herein.

12.3 Exclusions

Confidential Information does not include information that:

  • Is or becomes publicly available without breach of these Terms;
  • Was lawfully known to you prior to disclosure without confidentiality restrictions;
  • Is independently developed by you without reference to or use of Confidential Information;
  • Is lawfully obtained from a third party without breach of confidentiality obligations.
12.4 Required Disclosures

If you are required by law, regulation, or court order to disclose Confidential Information, you may do so provided that:

  • You give Estrel AI Ltd prompt written notice of such requirement, where legally permitted;
  • You disclose only the minimum amount of Confidential Information legally required;
  • You cooperate, at Estrel AI Ltd’s expense where applicable, in seeking protective measures.
12.5 Duration of Obligations

Your confidentiality obligations under this Section shall survive termination or expiration of your access to the Platform and remain in effect for as long as the information remains confidential.

12.6 Beta-Specific Acknowledgement

You acknowledge that, due to the Beta nature of the Platform:

  • Certain Confidential Information may change rapidly;
  • Features, limits, and behaviour discussed during Beta may not be final or representative of General Availability;
  • Disclosure of Beta-related information may cause material harm to Estrel AI Ltd.

12. Data Privacy and Security (Beta Disclaimer)

12.1 Beta Status and Security Maturity

You acknowledge and agree that the WiiZ Atlas 2.0 Platform is currently in Beta and has not yet reached General Availability.

Accordingly:

  • Security controls, data protection mechanisms, and compliance processes are still being validated, tested, and improved;
  • Certain safeguards, monitoring tools, and certifications typically expected in production systems may not yet be fully implemented;
  • Platform behaviour, access controls, and data handling practices may change during the Beta phase.

The Platform should not be treated as a fully hardened production environment.

12.2 Data Privacy Responsibilities

Each party acts as an independent data controller with respect to personal data processed in connection with the Platform, unless otherwise agreed in writing.

You are solely responsible for:

  • Determining whether personal data may be lawfully processed using the Platform;
  • Ensuring that you have all necessary legal bases, consents, and notices in place prior to uploading or processing personal data;
  • Complying with all applicable data protection and privacy laws that apply to you and your organisation.
12.3 Restrictions on Sensitive Data

Given the Beta status of the Platform, you agree that you will not upload, process, or store:

  • Special category or sensitive personal data;
  • Financial account numbers, authentication credentials, or passwords;
  • Highly confidential business information or regulated datasets;
  • Data subject to strict sector-specific regulatory requirements.

Estrel AI Ltd disclaims responsibility for any prohibited data uploaded in violation of this section.

12.4 Security Measures During Beta

Estrel AI Ltd implements reasonable technical and organisational measures designed to protect the Platform and User Content during the Beta phase. However, you acknowledge that:

  • No system can be guaranteed to be fully secure;
  • Security incidents, vulnerabilities, or data loss may occur;
  • Incident response processes are still evolving as part of the Beta programme.

Estrel AI Ltd does not guarantee uninterrupted security or immunity from unauthorised access during Beta.

12.5 No Security or Compliance Warranty

To the maximum extent permitted by applicable law:

  • No representation or warranty is made that the Platform complies with any specific security standard, certification, or regulatory framework during Beta;
  • No guarantee is provided regarding data residency, encryption standards, or audit readiness;
  • Beta usage does not imply compliance with GDPR, ISO, SOC, or similar frameworks unless expressly stated in writing.
12.6 Incident Notification

In the event of a confirmed security incident materially affecting the Platform:

  • Estrel AI Ltd may notify impacted users where reasonably practicable;
  • Notification timelines and details may be limited due to the evolving nature of Beta systems and investigations.
12.7 Survival

This Section survives termination of access to the Platform to the extent required by applicable law.

13. Disclaimers and Limitation of Liability

13.1 Platform Disclaimer (Beta)

The WiiZ Atlas 2.0 Platform is provided in Beta form and is made available on an “as is” and “as available” basis.

You acknowledge and agree that:

  • The Platform may contain defects, bugs, errors, or inconsistencies;
  • Functionality, performance, limits, and behaviour may change without notice;
  • Certain features or integrations may be unavailable, degraded, or modified during Beta.

Estrel AI Ltd makes no representation that the Platform is suitable for production or mission-critical use during Beta.

13.2 WiiZ-Managed Capabilities Disclaimer

Certain Platform capabilities may be provided as WiiZ-managed components, including but not limited to:

  • Vector databases (e.g., Milvus);
  • Relational databases (e.g., MySQL);
  • Speech, vision, embedding, reasoning, evaluation, and guardrail models;
  • Supporting orchestration and evaluation layers.

These capabilities are:

  • Integrated for convenience and evaluation purposes;
  • Subject to Beta-phase limits, shared infrastructure, and evolving configurations;
  • Not guaranteed to meet specific accuracy, latency, availability, or compliance requirements.

Estrel AI Ltd does not warrant uninterrupted availability, model determinism, or output correctness for any WiiZ-managed capability.

13.3 BYO (Bring Your Own) Components

Where the Platform allows Bring Your Own databases, models, or services:

  • You are solely responsible for configuration, security, licensing, compliance, and performance;
  • Estrel AI Ltd is not responsible for failures, inaccuracies, outages, or costs arising from BYO components;
  • Platform SLAs do not apply to third-party systems integrated by you.
13.4 No Warranty

To the maximum extent permitted by applicable law, Estrel AI Ltd expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to:

  • Merchantability;
  • Fitness for a particular purpose;
  • Accuracy, completeness, or reliability of outputs;
  • Non-infringement.

No oral or written information provided by Estrel AI Ltd creates any warranty not expressly stated herein.

13.5 Limitation of Liability

To the maximum extent permitted by applicable law:

  • Estrel AI Ltd shall not be liable for any indirect, incidental, consequential, special, or punitive damages;
  • This includes loss of data, profits, revenue, goodwill, business interruption, or decision-making errors arising from Platform use.

Estrel AI Ltd’s total aggregate liability arising out of or relating to the Platform shall not exceed the total fees paid by you to Estrel AI Ltd in the three (3) months preceding the event giving rise to the claim, or USD 100, whichever is lower, unless otherwise required by law.

13.6 Risk Acknowledgement

You expressly acknowledge that use of AI-based platforms involves inherent uncertainty and risk, and that you assume full responsibility for any reliance placed on Platform outputs.

14. Service Levels (SLA) – WiiZ-Managed Capabilities (Beta)

14.1 Scope of SLA

This Service Level section applies only to WiiZ-managed capabilities made available within the Platform, including those listed below when managed by Estrel AI Ltd:

  • Milvus (Vector Database)
  • MySQL (RDBMS)
  • Speech-to-Text (STT)
  • Text-to-Speech (TTS)
  • OCR
  • Vision-Language Models (VLM)
  • Embedding models
  • Reasoning models
  • EvalOps models
  • Guardrail and policy models

A Response time of 1 Business Day and Resolution time between High Medium or low Priority ticket shall be 2:3:5 Business Days respectively

14.2 Beta-Level Availability Target

During the Beta phase, Estrel AI Ltd will use commercially reasonable efforts to maintain Platform availability.

Indicative (non-binding) availability targets may include:

  • Best-effort uptime for WiiZ-managed components;
  • Planned maintenance windows without prior notice where necessary;
  • Temporary degradation during upgrades, testing, or scaling activities.

No minimum uptime percentage is guaranteed during Beta.

14.3 Performance and Quality Disclaimer

You acknowledge that:

  • Model outputs may vary between executions;
  • Latency and throughput may fluctuate based on shared infrastructure and load;
  • Evaluation, reasoning, and guardrail outcomes are probabilistic and non-deterministic.

No guarantees are provided regarding response time, output quality, or evaluation accuracy.

14.4 Storage and Capacity Limits

WiiZ-managed storage limits during Beta include:

  • Milvus (Vector DB): up to 2 GB
  • MySQL (RDBMS): up to 2 GB
  • File storage: as separately specified

These limits are enforced at the Platform level and may be adjusted during Beta without notice.

14.5 Incident Handling (Beta)

In the event of a Platform incident affecting WiiZ-managed capabilities:

  • Estrel AI Ltd will make reasonable efforts to investigate and remediate;
  • Incident timelines, root-cause analysis, and notifications may be limited;
  • No service credits, refunds, or penalties apply during Beta.
14.6 No Service Credits

Service credits, penalties, or compensation for downtime or degradation are not applicable during the Beta phase.

Formal SLAs may be introduced at General Availability or under separate enterprise agreements.

15. Feedback and Beta Contributions

15.1 Purpose of Beta Feedback

As part of the Beta availability of the WiiZ Atlas 2.0 Platform, users may provide feedback, insights, observations, suggestions, enhancement ideas, bug reports, performance data, or other contributions relating to the Platform (“Beta Contributions”).

Beta Contributions are intended to support:

  • Platform stability, scalability, and performance improvements;
  • Feature refinement and prioritisation;
  • Model behaviour, evaluation accuracy, and guardrail effectiveness;
  • Overall user experience and documentation quality.

Submission of Beta Contributions is voluntary.

15.2 Ownership and Use of Beta Contributions

You acknowledge and agree that:

  • All Beta Contributions may be used, reproduced, modified, incorporated, or otherwise exploited by Estrel AI Ltd for any purpose;
  • Estrel AI Ltd shall exclusively own all rights, title, and interest in and to any Platform improvements, enhancements, or derivative works resulting from or informed by Beta Contributions;
  • No compensation, attribution, or acknowledgement is owed to you for any Beta Contributions.

To the extent permitted by law, you irrevocably assign to Estrel AI Ltd all rights in such contributions.

15.3 No Confidential or Restricted Submissions

You represent and warrant that your Beta Contributions:

  • Do not contain confidential, proprietary, or restricted information that you are not authorised to disclose;
  • Do not violate any third-party intellectual property rights or contractual obligations;
  • Do not include personal data unless strictly necessary and lawfully provided.

Estrel AI Ltd is under no obligation to treat Beta Contributions as confidential.

15.4 No Obligation to Implement

You acknowledge that:

  • Estrel AI Ltd has no obligation to implement, release, or commercialise any Beta Contribution;
  • Feedback provided during Beta does not create any expectation of feature availability, roadmap commitments, or pricing guarantees at General Availability;
  • Platform behaviour and feature sets may change materially between Beta and GA.
15.5 Public and Private Feedback Channels

Beta Contributions may be submitted through:

  • In-platform feedback mechanisms;
  • Direct communications with Estrel AI Ltd;
  • Support, community, or evaluation channels designated for Beta users.

Estrel AI Ltd may, at its discretion, reference anonymised feedback for internal analysis or public-facing improvement summaries.

17. Acceptable Use, User Obligations, and AI Output Responsibility

17.1 General Use Obligations

You agree to access and use the WiiZ Atlas 2.0 Platform solely in accordance with:

  • These Terms;
  • The intended purpose of the Beta phase;
  • All applicable laws, regulations, and legal obligations.

You must not use the Platform in any manner that:

17.1.1 Violates or facilitates the violation of any applicable law, regulation, or legal requirement;

17.1.2 Infringes, misappropriates, or otherwise violates the intellectual property, privacy, data protection, or other rights of any third party;

17.1.3 Circumvents, disables, interferes with, or attempts to bypass any technical limitations, usage controls, safeguards, Run tracking mechanisms, or protective measures of the Platform;

17.1.4 Interferes with, degrades, or compromises the integrity, availability, security, or performance of the Platform or related systems.

You are responsible for ensuring that all individuals accessing the Platform under your account comply with these Terms.

17.2 Prohibited Content and Activities

You must not use the Platform to upload, generate, process, or distribute any content or perform any activity that:

17.2.1 Is unlawful, fraudulent, deceptive, or materially misleading;

17.2.2 Is defamatory, obscene, pornographic, hateful, discriminatory, abusive, or otherwise objectionable;

17.2.3 Promotes or facilitates violence, extremism, terrorism, or illegal activities;

17.2.4 Contains malware, viruses, malicious code, exploits, or any other harmful components;

17.2.5 Attempts to probe, scan, test, or exploit system vulnerabilities without explicit authorisation;

17.2.6 Is intended to mislead others regarding the origin, authorship, or reliability of AI-generated outputs where disclosure is required by applicable law, regulation, professional standards, or internal policy.

17.3 AI Output Limitations and Human Oversight

You acknowledge and agree that:

17.3.1 Outputs generated through the Platform are produced by artificial intelligence systems and may be inaccurate, incomplete, outdated, biased, or otherwise unreliable;

17.3.2 The Platform does not provide legal, medical, financial, regulatory, or other professional advice;

17.3.3 Outputs must not be used as the sole basis for decisions that may result in legal, financial, safety, operational, or personal consequences.

You further agree to:

17.3.4 Independently review, verify, and validate all outputs prior to reliance or use;

17.3.5 Apply appropriate human judgement, oversight, and contextual evaluation when interpreting or using outputs;

17.3.6 Disclose the use of AI-generated outputs where required by applicable law, regulation, contractual obligation, or internal governance policy.

17.4 Monitoring and Enforcement

For the purposes of maintaining Platform security, stability, integrity, and compliance, Estrel AI Ltd may:

17.4.1 Monitor usage patterns, Run consumption, and system interactions;

17.4.2 Investigate suspected misuse, abuse, or violations of these Terms;

17.4.3 Take appropriate enforcement actions, including throttling, suspension, restriction, or termination of Platform access.

Nothing in these Terms obligates Estrel AI Ltd to actively monitor all activity or to detect all instances of misuse.

17.5 Responsibility and Indemnity for Misuse

You are solely responsible for:

17.5.1 Your access to and use of the Platform;

17.5.2 Any reliance placed on Platform outputs;

17.5.3 Any consequences arising from unlawful, non-compliant, or unauthorised use.

You agree to indemnify, defend, and hold harmless Estrel AI Ltd, its affiliates, directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, or expenses arising out of or relating to:

  • Your breach of this Section 17; or
  • Your misuse of the Platform or reliance on outputs.

18. Disclaimers and No Warranties

To the maximum extent permitted by applicable law, the Service is provided strictly on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, statutory, or otherwise.

Without limiting the foregoing, Estrel AI expressly disclaims all warranties, including but not limited to:

  • Any implied warranties of merchantability, fitness for a particular purpose, title, accuracy, reliability, or non-infringement;
  • Any warranties arising out of course of dealing, usage, or trade practice;
  • Any warranties that the Service will meet your requirements or expectations.

Estrel AI does not warrant or represent that:

  • The Service will be uninterrupted, timely, secure, or error-free;
  • Defects, bugs, vulnerabilities, or errors will be identified or corrected;
  • The Service or its outputs will be accurate, complete, current, or suitable for any particular use case;
  • The Service will comply with any specific legal, regulatory, industry, or compliance requirements.

You acknowledge and agree that:

  • The Service is provided for evaluation and testing purposes only;
  • Any reliance on the Service or its outputs is at your sole risk;
  • Estrel AI has no obligation to provide maintenance, support, updates, or fixes during the Beta Programme.

Nothing in these Terms shall be interpreted as creating any service-level agreement, support obligation, or warranty commitment.

19. Limitation of Liability and Allocation of Risk

To the maximum extent permitted by applicable law, and acknowledging the experimental and pre-release nature of the Service, you agree that Estrel AI’s liability in connection with the Beta Programme is strictly limited as set out below.

19.1 Excluded Damages

To the fullest extent permitted by law, Estrel AI, its affiliates, and their respective directors, officers, employees, contractors, and agents shall not be liable for any of the following, whether arising in contract, tort (including negligence), strict liability, or otherwise:

  • Indirect, incidental, special, consequential, or punitive damages;
  • Loss of profits, revenue, business opportunities, or anticipated savings;
  • Loss of data, data corruption, or data restoration costs;
  • Loss of goodwill, reputation, or business interruption;
  • Claims arising from reliance on AI-generated outputs;
  • Claims arising from security vulnerabilities, system downtime, or service unavailability during the Beta Programme.

This exclusion applies even if Estrel AI has been advised of the possibility of such damages.

19.2 Aggregate Liability Cap

To the maximum extent permitted by law, Estrel AI’s aggregate total liability arising out of or relating to:

  • These Terms;
  • The Beta Programme; or
  • Your access to or use of the Service,

shall not exceed USD 100 (one hundred United States dollars) or, if greater, the minimum amount required by applicable law.

19.3 Risk Allocation

You acknowledge and agree that:

  • The limitations and exclusions of liability in these Terms reflect a reasonable allocation of risk given that the Service is provided free of charge or at minimal cost during beta;
  • You would not have been granted access to the Service without these limitations;
  • You assume all risks associated with participation in the Beta Programme.
19.4 Non-Excludable Liability

Nothing in these Terms shall exclude or limit liability to the extent such liability cannot be excluded or limited under applicable law, including any mandatory consumer protection provisions that apply.

20. Governing Law and Jurisdiction

These Beta Terms and Conditions, the Beta Programme, and any dispute, claim, or controversy arising out of or in connection with them, including any non-contractual obligations, shall be governed by and construed in accordance with the laws of the Dubai International Financial Centre (DIFC).

The courts of the DIFC shall have exclusive jurisdiction to resolve any dispute arising out of or in connection with these Terms, the Beta Programme, or your access to or use of the WiiZ Platform, without prejudice to any mandatory provisions of applicable law that cannot be lawfully excluded or limited.

21. Miscellaneous, Assignment, and Entire Agreement

21.1 Entire Agreement

These Beta Terms and Conditions, together with any documents expressly incorporated by reference (including the Privacy Policy and any in-platform notices), constitute the entire agreement between you and Estrel AI Ltd relating to the Beta Programme and your access to and use of the WiiZ Platform.

They supersede and replace all prior or contemporaneous agreements, understandings, representations, or communications, whether written or oral, relating to the same subject matter. You acknowledge that you have not relied on any statement, promise, or representation not expressly set out in these Terms.

21.2 Assignment

You may not assign, transfer, delegate, sublicense, or otherwise dispose of these Terms, in whole or in part, without the prior written consent of Estrel AI Ltd.

Estrel AI Ltd may assign or transfer these Terms freely, in whole or in part, including in connection with a merger, acquisition, corporate restructuring, or sale of assets, without restriction. Any attempted assignment in violation of this section shall be null and void.

21.3 Severability

If any provision of these Terms is held by a court or competent authority to be invalid, illegal, or unenforceable:

  • That provision shall be enforced to the maximum extent permissible under applicable law; and
  • The remaining provisions shall remain in full force and effect.
21.4 Waiver

No failure or delay by Estrel AI Ltd in exercising any right, power, or remedy under these Terms shall operate as a waiver of that right, power, or remedy.

Any waiver must be in writing and shall apply only to the specific instance for which it is given.

21.5 Relationship of the Parties

Nothing in these Terms creates any partnership, joint venture, agency, fiduciary, or employment relationship between you and Estrel AI Ltd.

You have no authority to bind Estrel AI Ltd in any manner.

21.6 Force Majeure

Estrel AI Ltd shall not be liable for any failure or delay in performance arising from events beyond its reasonable control, including but not limited to:

  • Acts of God;
  • Natural disasters;
  • War, terrorism, or civil unrest;
  • Government actions or regulatory changes;
  • Failures or disruptions of third-party infrastructure, hosting providers, or networks.
21.7 Survival

Any provisions which by their nature are intended to survive termination of these Terms shall survive, including without limitation provisions relating to:

  • Intellectual Property;
  • Confidentiality;
  • Disclaimers;
  • Limitation of Liability;
  • Governing Law and Jurisdiction.

Conclusion and Acceptance

By accessing, registering for, or using the WiiZ Platform, including WiiZ Atlas 2.0, as part of the Beta Programme, you acknowledge that you have read, understood, and agree to be bound by these Beta Terms and Conditions in their entirety.

You further acknowledge and agree that:

  • The Platform is provided in beta, pre-release form for evaluation, testing, and feedback purposes only;
  • The Platform is not production-ready and may be modified, limited, degraded, suspended, or discontinued at any time;
  • Platform features, usage limits, Runs, performance characteristics, and access conditions may change during the Beta Programme;
  • Data protection, security controls, reliability, and compliance mechanisms are still being validated and refined;
  • Your participation in the Beta Programme is voluntary and undertaken at your own risk.

If you do not agree to these Terms, you must not access or use the Platform.

These Terms are effective as of the date you first accept them or first access the Platform, whichever occurs earlier, and shall apply for the duration of your participation in the Beta Programme, unless terminated earlier in accordance with these Terms.
